1. Introduction

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Client", or "you") and Vision Enterprises ("we", "us", "our", or "the Company"), governing your access to and use of the Vision Enterprises website at www.visionenterprises.online ("Website"), the client portal, and the enterprise services offered by Vision Enterprises.

Vision Enterprises is a B2B enterprise solutions provider based in Pune, Maharashtra, India, established in 2023. We provide a range of integrated services including industrial procurement, supply chain management, corporate consulting, trading solutions, logistics coordination, and infrastructure support to businesses across India.

These Terms, together with our Privacy Policy and any additional service agreements entered into with you, form the complete agreement between you and Vision Enterprises with respect to the subject matter hereof.

2. Acceptance of Terms

• You will provide accurate, complete, and current registration information including your name, business email address, company name, and contact details;
• You are responsible for maintaining the confidentiality of your account credentials, including your username and password;
• You are solely responsible for all activities that occur under your account, whether or not authorised by you;

• Trading Solutions: Bulk commodity trading, import–export facilitation, and vendor negotiation;
• Logistics Coordination: Freight management, carrier coordination, and last-mile delivery planning;

The specific scope, deliverables, timelines, and pricing for any service engagement shall be set forth in a separate service agreement or proposal document executed between the parties. These Terms govern the general framework within which all such engagements are conducted.

Vision Enterprises reserves the right to modify, expand, or discontinue any service at any time, with reasonable notice to affected clients wherever practicable.

6. Service Engagements

All service engagements with Vision Enterprises are subject to the following general conditions:

6.1 Proposal & Agreement

Service engagements commence upon execution of a written service agreement, proposal acceptance, or purchase order. Verbal or informal agreements are not binding on Vision Enterprises unless subsequently confirmed in writing by an authorised representative of the Company.

6.2 Client Cooperation

Clients are required to provide timely, accurate, and complete information, data, and access necessary for Vision Enterprises to deliver the agreed services. Delays in client cooperation may affect timelines and deliverables, for which Vision Enterprises shall not be held liable.

6.3 Change Requests

Any changes to agreed scope, timelines, or deliverables must be submitted in writing and are subject to review, acceptance, and potential revision of fees by Vision Enterprises.

6.4 Delivery Standards

Vision Enterprises shall deliver services with reasonable professional care and skill, consistent with applicable industry standards. We shall endeavour to meet agreed timelines but shall not be liable for delays caused by factors beyond our reasonable control, including force majeure events, third-party delays, or client-caused delays.

7. Fees & Payment

Fees for Vision Enterprises services are as agreed in the applicable service agreement, proposal, or purchase order. The following payment terms apply unless otherwise specified:

• Invoices are payable within 30 days of the invoice date unless otherwise agreed in writing;
• Payments are to be made by bank transfer or other method agreed between the parties;
• Late payments may attract interest at the rate of 1.5% per month (or the maximum rate permitted by law, whichever is lower) on outstanding balances;
• Vision Enterprises reserves the right to suspend service delivery in the event of non-payment of overdue invoices following written notice;
• All fees are exclusive of applicable taxes, including GST, unless explicitly stated otherwise in the applicable invoice or agreement;
• Clients are responsible for any withholding taxes or deductions required by law, and shall provide appropriate documentation (such as Form 16A) to Vision Enterprises where applicable.

8. Intellectual Property

All content on the Vision Enterprises Website, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software, is the property of Vision Enterprises or its content suppliers and is protected under applicable Indian and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Website for lawful business purposes in accordance with these Terms. This licence does not include the right to:

• Copy, reproduce, distribute, or republish any content from the Website without prior written consent;
• Use any Vision Enterprises trademarks, logos, or branding without prior written authorisation;

With respect to deliverables produced by Vision Enterprises in the course of a service engagement, ownership and intellectual property rights shall be as set forth in the applicable service agreement. In the absence of any specific agreement, deliverables produced exclusively for a client shall vest in the client upon full payment of all applicable fees.

9. Confidentiality

Both parties acknowledge that in the course of engaging with Vision Enterprises, each party may be exposed to Confidential Information of the other party. "Confidential Information" includes, but is not limited to, business strategies, financial data, client lists, pricing, procurement processes, technical information, and any other information designated as confidential or which a reasonable person would consider confidential given its nature and the circumstances of its disclosure.

Each party agrees to:

• Hold all Confidential Information of the other party in strict confidence;
• Use Confidential Information only for the purpose of the engagement;
• Not disclose Confidential Information to any third party without prior written consent of the disclosing party, except as required by law or court order;
• Implement reasonable measures to protect the confidentiality of Confidential Information.

Confidentiality obligations survive the termination of these Terms or any service agreement for a period of five (5) years from the date of termination.

10. Prohibited Conduct

You agree not to engage in any of the following prohibited activities in connection with the Vision Enterprises Website or services:

• Using the Website or services for any illegal, fraudulent, or misrepresentative purpose;
• Attempting to gain unauthorised access to the Website, client portal, or any related system or database;
• Uploading or transmitting any malicious code, viruses, or harmful software;
• Scraping, crawling, or data-mining the Website without prior written authorisation;
• Impersonating any person or entity or misrepresenting your affiliation with any organisation;

All professional service deliverables are provided based on the best available information at the time of engagement.

12. Limitation of Liability

To the fullest extent permitted by applicable Indian law, Vision Enterprises shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any damages for loss of profits, revenue, goodwill, data, or business opportunities, arising out of or in connection with your use of the Website or services, even if advised of the possibility of such damages.

The total aggregate liability of Vision Enterprises for any claim arising under or in connection with these Terms or any service engagement shall not exceed the total fees paid by the client to Vision Enterprises in the three (3) months immediately preceding the event giving rise to the claim.

These limitations do not apply to liability that cannot be excluded under applicable law, including liability for death, personal injury, or fraud caused by our negligence or wilful misconduct.

13. Indemnification

You agree to indemnify, defend, and hold harmless Vision Enterprises and its officers, directors, employees, contractors, agents, and partners from and against any and all claims, damages, losses, costs, liabilities, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Vision Enterprises Website or services in violation of these Terms;
• Your breach of any representation, warranty, or obligation under these Terms;
• Any third-party claim arising from your business activities, data, or content provided to Vision Enterprises;
• Your violation of any applicable law or regulation in connection with your use of our Website or services.

14. Termination

Either party may terminate a service engagement in accordance with the termination provisions specified in the applicable service agreement. In the absence of a specific agreement, the following general termination provisions apply:

• Either party may terminate an engagement by providing 30 days' written notice to the other party;
• Vision Enterprises may immediately terminate any engagement or suspend access to the client portal without notice where a client is in material breach of these Terms, has failed to pay overdue invoices, or is engaged in any fraudulent, illegal, or harmful activity;
• Upon termination, Vision Enterprises will provide a final invoice for all services rendered up to the effective date of termination, which shall be payable in accordance with Section 7;
• Termination shall not affect any rights or obligations accrued prior to the effective date of termination.

Provisions of these Terms that by their nature should survive termination — including but not limited to Sections 8, 9, 12, 13, 15, and 16 — shall continue in full force after termination.

15. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms, any service engagement, or any act or omission of Vision Enterprises or the Client, the parties agree to first attempt to resolve the matter through good-faith negotiation.

If the parties are unable to resolve the dispute through negotiation within 30 days of written notice of the dispute by one party to the other, either party may refer the matter to mediation administered by a mutually agreed mediator in Pune, Maharashtra.

If mediation fails to resolve the dispute within 60 days of commencement, either party may refer the dispute to arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Pune, Maharashtra. The language of arbitration shall be English.

Nothing in this Section prevents either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction to protect its legitimate interests pending resolution of a dispute.

16. Governing Law

These Terms of Service and all disputes arising out of or relating to these Terms or any service engagement with Vision Enterprises shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Subject to the dispute resolution provisions in Section 15, the courts of Pune, Maharashtra shall have exclusive jurisdiction over any dispute between the parties that is not resolved through negotiation, mediation, or arbitration.

17. Amendments

Vision Enterprises reserves the right to modify these Terms of Service at any time. The most current version of the Terms will always be available on our Website. The "Last Updated" date at the top of this page will reflect the date of the most recent revision. We will endeavour to notify registered users of material changes by email or by posting a prominent notice on the Website prior to changes taking effect.
